Terms of Service

By using this website or requesting our services, you represent that you are of legal age and have the authority to enter into agreements on behalf of your organization. If you do not agree with these Terms, you may not use our services.

Vektor Space provides:

• Workspace strategy and planning consulting
• Interior design and architectural services
• Turnkey construction and fit-out management
• PropTech integration and smart office systems
• Lifecycle management and ongoing optimization

All services are subject to detailed project proposals, agreements, and scope documents that supersede general statements on our website.

Each project is governed by a comprehensive Services Agreement that specifies scope, timeline, budget, deliverables, and terms. Information on this website is general in nature and does not constitute a formal service proposal or quotation. Formal proposals require written approval from both parties.

We reserve the right to modify proposed scope, timeline, or pricing based on additional information discovered during discovery phases. All modifications require written approval.

• Invoices are due within 30 days unless otherwise specified in the Services Agreement
• Late payments incur interest at 18% per annum or maximum allowed by law
• We reserve the right to suspend services if payments exceed 60 days past due
• All prices are exclusive of applicable taxes (GST, VAT) unless stated otherwise
• Change orders resulting in scope additions require prior written approval and payment terms agreement

Both parties agree to maintain confidentiality regarding project information, financial terms, technical specifications, and proprietary business information exchanged during the engagement. Confidentiality obligations survive project termination by 2 years, except where disclosure is required by law or court order.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTOR SPACES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or business interruption
• Costs of substitute services or goods

Our total liability for any claim shall not exceed the total amount paid under the Services Agreement in the 12 months preceding the claim.

• Either party may terminate with 30 days written notice if the other party materially breaches and fails to cure within 15 days
• Upon termination, you remain liable for services rendered and expenses incurred through termination date
• Termination does not relieve payment obligations or affect surviving provisions (confidentiality, IP, liability)
• We may retain deliverables if payment is not current

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, India, and you consent to such jurisdiction.

Before litigation, the parties agree to attempt resolution through:

• Negotiation: Senior management discussion within 15 days
• Mediation: Third-party mediation in Pune under ICCR rules if negotiation fails
• Arbitration: If mediation fails, binding arbitration under Arbitration and Conciliation Act, 1996

You agree to indemnify and hold harmless Vektor Space from any claims, damages, or losses arising from: (a) your use of our services; (b) information you provide that infringes third-party rights; (c) your violation of applicable laws; (d) your violation of these Terms.

You agree not to:

• Use the website for illegal purposes or unauthorized access
• Transmit malware, viruses, or disruptive code
• Scrape, mirror, or automatically download content without permission
• Circumvent security measures or access restricted areas
• Interfere with website operation or harm user experience

We may update these Terms at any time. Continued use of our website or services following changes constitutes acceptance of modified Terms. Significant changes affecting projects in progress will be communicated separately.

If any provision of these Terms is found invalid or unenforceable, such provision shall be reformed to the minimum extent necessary to make it valid, and all other provisions remain in effect.
